TRONAgg Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the TRONAgg website, Workspace, APIs, Telegram bots, Energy-Free Node, AutoEnergy, provider-comparison functionality and all related products, interfaces, software and services made available under the TRONAgg name.

Please read these Terms carefully before accessing or using the Services.

By accessing or using any part of the Services, you acknowledge that you have read, understood and agreed to be bound by these Terms.

1. About TRONAgg

TRONAgg is a technology platform and project made available through tronagg.ai and related interfaces.

In these Terms:

  • “TRONAgg,” “we,” “us” and “our” refer to the TRONAgg platform and the operator or operators responsible for making the Services available from time to time;
  • “Website” means tronagg.ai and its subdomains;
  • “Workspace” means the user dashboard and account interface provided by TRONAgg;
  • “Services” means all products, features, interfaces and services described in these Terms;
  • “User,” “you” and “your” mean any person accessing or using the Services;
  • “Business User” means a person using the Services primarily for trade, commercial or professional purposes;
  • “Consumer” means a natural person using the Services primarily for purposes outside their trade, business or profession;
  • “Provider” means a third-party supplier of TRON Energy, Bandwidth or related infrastructure;
  • “TRX Balance” means the amount denominated in TRX and credited to a User’s internal Workspace ledger.

Nothing in these Terms represents that TRONAgg is currently incorporated, licensed or registered as a separate legal entity in any particular jurisdiction.

Nothing in these Terms represents that TRONAgg is a bank, payment institution, electronic-money institution, investment firm, crypto-asset exchange, broker, financial adviser, insurer or deposit-taking institution.

2. Services Covered by These Terms

These Terms apply to all TRONAgg Services, including:

  • the Website;
  • TRON Energy and Bandwidth comparison;
  • Provider price aggregation;
  • Provider rankings and TrustScores;
  • direct Energy and Bandwidth purchases;
  • order routing;
  • order monitoring;
  • direct fulfilment from TRONAgg-controlled resource pools;
  • fulfilment through third-party Providers;
  • the Workspace;
  • account authentication;
  • wallet authentication;
  • TRX deposits;
  • the TRX Balance;
  • TRX withdrawals;
  • AutoEnergy;
  • the Energy-Free Node;
  • REST APIs;
  • API keys;
  • webhooks;
  • Telegram bots;
  • calculators;
  • dashboards;
  • documentation;
  • reseller functionality;
  • Provider pages;
  • referral and affiliate functionality;
  • technical support; and
  • related interfaces, products and services provided under the TRONAgg name.

The availability, functionality, technical configuration, limits, pricing and supported methods of the Services may change over time.

Unless a separate written service-level agreement has been entered into, all Services are provided on a reasonable-efforts and as-available basis.

3. Acceptance of These Terms

You accept these Terms by:

  • accessing or using the Website;
  • creating a Workspace account;
  • signing an authentication message;
  • connecting a wallet;
  • depositing TRX;
  • confirming an order;
  • purchasing Energy or Bandwidth;
  • activating AutoEnergy;
  • creating or using an API key;
  • using the Energy-Free Node;
  • using a TRONAgg Telegram bot; or
  • otherwise requesting or receiving any Service.

If you do not agree to these Terms, you must not use the Services.

Where a separate acknowledgment or product-specific agreement is presented, that additional acceptance forms part of your agreement with TRONAgg.

4. Eligibility

You may use the Services only if:

  • you are at least 18 years old;
  • you have legal capacity to enter into a binding agreement;
  • your use of the Services is lawful in your jurisdiction;
  • you are not subject to applicable sanctions or asset-freezing measures;
  • you are not acting on behalf of a prohibited or sanctioned person;
  • the information you provide is accurate and complete; and
  • you comply with these Terms and applicable law.

We may restrict or refuse access in jurisdictions where providing the Services would create legal, sanctions, fraud, security, regulatory or operational risk.

5. Use on Behalf of a Business

If you use the Services on behalf of a company, partnership, organisation or other person, you represent and warrant that:

  • you have authority to act on that person’s behalf;
  • you have authority to accept these Terms on that person’s behalf;
  • the relevant person is legally bound by these Terms; and
  • all instructions submitted through your account are properly authorised.

In that case, references to “you” include both you and the person on whose behalf you act.

6. Electronic Contracting and Records

You agree that contracts, notices, confirmations, invoices, account records and other communications may be provided electronically.

TRONAgg may retain records relating to your use of the Services, including:

  • the version of the Terms accepted;
  • the acceptance timestamp;
  • account identifiers;
  • wallet addresses;
  • authentication records;
  • order information;
  • Provider information;
  • API requests;
  • API key activity;
  • node activity;
  • balance ledger entries;
  • deposit records;
  • withdrawal records;
  • blockchain transaction identifiers;
  • technical logs; and
  • security records.

Blockchain records, system records and internal ledger records may be used as evidence of activity, subject to your right to demonstrate a material error.

7. Wallet Authentication

TRONAgg may allow you to authenticate by signing a message using a supported wallet.

An authentication signature is generally used to verify control of an address. It does not by itself transfer assets unless the displayed wallet request expressly creates or authorises a blockchain transaction.

You are responsible for reviewing every wallet request before signing it.

TRONAgg will never request your wallet seed phrase or private key.

8. TRONAgg’s Role

TRONAgg may act in different capacities depending on the relevant Service or order.

8.1 Direct supplier

Where Energy or Bandwidth is supplied from a resource pool owned, controlled or directly managed by TRONAgg, TRONAgg acts as the direct supplier of the relevant resource.

8.2 Aggregator and intermediary

Where Energy or Bandwidth is supplied by an independent third-party Provider, TRONAgg may provide:

  • quote aggregation;
  • price comparison;
  • Provider selection;
  • order routing;
  • payment administration;
  • technical integration;
  • Provider settlement;
  • order monitoring;
  • customer support;
  • rerouting;
  • refund administration; and
  • balance re-credits.

Third-party Providers are independent service providers. Unless expressly stated otherwise, they are not employees, agents, representatives, legal partners or affiliates of TRONAgg.

The use of a third-party Provider does not automatically create a direct contract between the User and that Provider unless this is expressly disclosed before the order is confirmed.

8.3 Order fulfilment information

Where technically available, the applicable order record may identify whether an order was:

  • supplied directly by TRONAgg;
  • fulfilled through a third-party Provider; or
  • rerouted between eligible Providers.

TRONAgg may reroute an order without additional approval where rerouting:

  • does not increase the price already accepted by the User;
  • does not materially reduce the resource amount;
  • does not materially reduce the selected duration; and
  • is reasonably necessary to complete the order.

9. Third-Party Providers

Provider availability may change at any time.

TRONAgg may add, remove, suspend, restrict or deprioritise Providers based on:

  • pricing;
  • available capacity;
  • API performance;
  • fulfilment history;
  • support quality;
  • operational stability;
  • security concerns;
  • legal concerns;
  • sanctions exposure;
  • user complaints;
  • technical incidents; or
  • internal risk assessments.

The presence of a Provider on TRONAgg does not constitute an unconditional endorsement, warranty or guarantee.

TRONAgg does not guarantee that any Provider will remain available or fulfil a specific future order.

10. Provider Rankings and TrustScore

TRONAgg may display:

  • TrustScores;
  • Provider ratings;
  • review scores;
  • verified status;
  • fulfilment statistics;
  • expected delivery times;
  • operational-history indicators;
  • pricing indicators;
  • availability indicators; and
  • other Provider metrics.

These metrics are informational decision-support tools only.

They do not constitute:

  • warranties;
  • guarantees;
  • financial advice;
  • investment advice;
  • legal advice;
  • endorsements;
  • promises of fulfilment; or
  • predictions of future performance.

TRONAgg may calculate rankings using factors such as:

  • price;
  • reliability;
  • API performance;
  • fulfilment history;
  • customer support;
  • verified user reviews;
  • on-platform activity;
  • operational history;
  • Provider capacity; and
  • internal risk indicators.

TRONAgg may modify its ranking methodology without disclosing proprietary algorithms, anti-fraud systems or confidential weighting methods.

11. Best Price and Quotes

“Best Price,” “Lowest Price,” “Cheapest Price” and similar expressions mean the lowest eligible price identified by TRONAgg among the Providers, internal resource pools and liquidity sources checked by and available to TRONAgg for the relevant order at the relevant time.

These expressions do not mean that:

  • every possible Provider has been checked;
  • the displayed price is the lowest price available anywhere;
  • the price will remain available;
  • a lower price cannot be available elsewhere;
  • the User will achieve any specific saving;
  • the price will retain its fiat-equivalent value;
  • every Provider is technically available; or
  • every Provider can fulfil the order.

Quotes may depend on:

  • requested Energy or Bandwidth amount;
  • duration;
  • Provider capacity;
  • resource supply;
  • market demand;
  • recipient-address status;
  • TRON network conditions;
  • transaction type;
  • payment method;
  • Provider pricing;
  • internal pool pricing;
  • technical limits; and
  • applicable fees.

Quotes may change until the order is accepted.

TRONAgg may cancel or correct an order affected by:

  • an obvious pricing error;
  • stale pricing data;
  • incorrect Provider data;
  • technical malfunction;
  • manipulation;
  • incorrect User input;
  • duplicate processing; or
  • materially incorrect availability information.

If payment was deducted for an order cancelled under this section, the relevant amount will be refunded or re-credited, subject to applicable fees already irreversibly incurred.

12. Orders

Before confirming an order, you are responsible for verifying:

  • the recipient address;
  • the resource type;
  • the resource amount;
  • the duration;
  • the displayed price;
  • applicable fees;
  • the selected Service;
  • the payment method; and
  • any product-specific conditions.

An order becomes binding once:

  • it has been accepted by TRONAgg; and
  • the applicable payment or TRX Balance debit has been confirmed.

TRONAgg may reject, delay or cancel an order because of:

  • insufficient balance;
  • Provider unavailability;
  • insufficient capacity;
  • security checks;
  • fraud risk;
  • sanctions risk;
  • unsupported addresses;
  • unsupported activity;
  • technical limitations;
  • maintenance;
  • incorrect information;
  • risk to TRONAgg or a Provider;
  • legal requirements; or
  • regulatory requirements.

Once blockchain execution has begun, an order normally cannot be cancelled.

13. Delivery of Energy and Bandwidth

Energy or Bandwidth delivery is deemed completed when the applicable delegation is recorded on the TRON blockchain for the recipient address specified by the User.

The blockchain record is the primary evidence of delivery, subject to a proven material technical error.

Successful delivery does not guarantee:

  • successful execution of a subsequent transaction;
  • that the delegated amount will be sufficient;
  • that no TRX will be burned;
  • compatibility with every smart contract;
  • compatibility with every token;
  • compatibility with every wallet;
  • that another transaction will not consume the resource;
  • that the resource will remain available for a particular transaction;
  • that the resource will be used before expiry; or
  • any particular financial saving.

The Energy required for a transaction may depend on:

  • the recipient address;
  • whether the recipient address is activated;
  • token-contract behaviour;
  • smart-contract state;
  • transaction type;
  • fee-limit configuration;
  • network conditions; and
  • changes to the TRON protocol.

Displayed delivery times are estimates only.

14. Delivery Delays

Delivery may be delayed by:

  • Provider availability;
  • insufficient Provider capacity;
  • blockchain congestion;
  • block-production delays;
  • RPC failures;
  • Provider failures;
  • system maintenance;
  • security checks;
  • chain reorganisations;
  • infrastructure incidents;
  • internet outages;
  • cloud-provider incidents;
  • software failures; or
  • events outside TRONAgg’s reasonable control.

A delay does not automatically mean that an order has failed.

TRONAgg may continue attempting fulfilment for a reasonable period or reroute the order to another eligible Provider.

15. Recipient Addresses

You are solely responsible for providing a correct, compatible and intended TRON address.

TRONAgg is not responsible for losses caused by:

  • an incorrect address;
  • an incompatible address;
  • an unintended address;
  • clipboard malware;
  • compromised devices;
  • incorrect API data;
  • incorrect data supplied by an employee or contractor;
  • an address supplied by your software;
  • unsupported contracts;
  • wrong network selection; or
  • incorrect configuration.

Energy or Bandwidth delivered to an incorrect address may be impossible to recover.

16. Blockchain Finality

Blockchain transactions, delegations and withdrawals may be irreversible.

A transaction, delegation or withdrawal sent to the address provided by you will normally be treated as properly executed once it has been confirmed on the TRON blockchain.

TRONAgg is not responsible for reversing blockchain activity that cannot technically be reversed.

17. External Wallets

Connecting an external wallet does not give TRONAgg control of the private keys to that wallet.

You remain responsible for:

  • private keys;
  • seed phrases;
  • wallet passwords;
  • connected applications;
  • device security;
  • wallet permissions;
  • reviewing transaction details;
  • confirming recipient addresses;
  • setting fee limits; and
  • signing transactions.

A blockchain transaction signed through your wallet will be treated as authorised by you unless applicable law requires otherwise or you prove that the transaction resulted from a security failure directly attributable to TRONAgg.

18. Accounts and Authentication

You are responsible for maintaining the security of:

  • your Workspace account;
  • email account;
  • Google account;
  • Telegram account;
  • wallet;
  • authentication sessions;
  • API keys;
  • access tokens;
  • node credentials;
  • devices; and
  • recovery methods.

You must notify TRONAgg promptly if you suspect:

  • unauthorised account access;
  • compromised credentials;
  • a compromised API key;
  • a compromised wallet;
  • unauthorised withdrawals; or
  • suspicious activity.

TRONAgg may temporarily restrict access where reasonably necessary to protect the User, the platform or other Users.

19. TRX Balance

The Workspace may display a balance denominated in TRX, referred to as the “TRX Balance.” The TRX Balance represents the amount credited to your account in TRONAgg’s internal ledger.

TRX received from multiple Users may be held in one or more pooled or omnibus blockchain wallets controlled by TRONAgg. TRX is not necessarily held in a separate blockchain wallet assigned exclusively to each User.

A ledger balance does not identify particular individual TRX tokens as belonging exclusively to a specific User.

TRONAgg will maintain internal records showing the balance attributed to each User account.

The TRX Balance:

  • may be used to purchase eligible Services;
  • may be used to pay AutoEnergy charges;
  • may be used to pay API orders;
  • may be withdrawn subject to these Terms;
  • does not earn interest;
  • does not earn yield or staking rewards;
  • has no contractual expiration date;
  • is not a bank account;
  • is not a bank deposit;
  • is not covered by a bank deposit-guarantee scheme;
  • is not an investment product; and
  • may fluctuate in fiat value because of changes in the market price of TRX.

TRONAgg does not guarantee the fiat value of any TRX Balance.

20. TRX Balance Adjustments

TRONAgg may adjust the internal ledger to reflect:

  • completed purchases;
  • AutoEnergy charges;
  • API orders;
  • node-related charges;
  • withdrawal amounts;
  • withdrawal fees;
  • blockchain fees;
  • refunds;
  • re-credits;
  • duplicate charges;
  • duplicate deposits;
  • erroneous credits;
  • reversed deposits;
  • blockchain reorganisations;
  • promotional credits;
  • chargebacks;
  • administrative corrections; and
  • valid amounts owed under these Terms.

TRONAgg will not arbitrarily confiscate a User’s available balance.

Where a correction materially reduces a displayed balance, TRONAgg may provide information about the reason unless disclosure is legally prohibited or would compromise a security or fraud investigation.

21. Deposits

Unless TRONAgg expressly states otherwise, only TRX transferred through the TRON network is supported for the TRX Balance.

You are solely responsible for verifying:

  • the deposit address;
  • the blockchain network;
  • the transferred asset;
  • any required identifier;
  • the transaction amount; and
  • the transaction details.

A deposit will be credited after:

  • the required blockchain confirmations;
  • internal reconciliation;
  • security checks; and
  • other reasonable processing checks.

Displayed confirmation times are estimates only.

TRONAgg may reverse or correct a ledger credit resulting from:

  • duplicate processing;
  • blockchain reorganisation;
  • technical error;
  • fraudulent activity;
  • invalid transactions;
  • incorrect attribution; or
  • a deposit that is subsequently reversed or invalidated.

22. Unsupported Deposits

Assets may be permanently lost if they are sent:

  • through an unsupported blockchain;
  • to an incorrect address;
  • as an unsupported token;
  • without a required identifier;
  • through an incompatible smart contract;
  • through an unsupported deposit mechanism; or
  • in a format not supported by TRONAgg.

TRONAgg has no obligation to recover unsupported or incorrectly transferred assets.

Where recovery is technically possible, TRONAgg may attempt recovery at its discretion.

TRONAgg may deduct from recovered assets:

  • blockchain fees;
  • Provider fees;
  • technical expenses;
  • administrative costs;
  • specialist recovery costs; and
  • other reasonable costs associated with recovery.

An attempted recovery is not guaranteed to succeed.

23. Withdrawals

You may request withdrawal of an available TRX Balance to a supported TRON address.

Withdrawals may be subject to:

  • minimum withdrawal amounts;
  • maximum withdrawal amounts;
  • blockchain fees;
  • processing fees disclosed before confirmation;
  • security checks;
  • ownership verification;
  • fraud checks;
  • sanctions screening;
  • temporary operational limits;
  • sufficient liquidity;
  • network availability; and
  • reasonable processing periods.

You are solely responsible for providing a correct and compatible withdrawal address.

A withdrawal will be treated as completed once the relevant transaction has been broadcast and confirmed on the TRON blockchain.

Blockchain withdrawals are irreversible.

TRONAgg is not responsible for TRX sent to an incorrect, compromised, incompatible or unintended address provided by the User.

TRONAgg does not guarantee an exact withdrawal-completion time.

24. Delayed or Restricted Withdrawals

TRONAgg may delay, restrict or reject a withdrawal where reasonably necessary to:

  • investigate suspected fraud;
  • investigate unauthorised access;
  • comply with sanctions;
  • comply with applicable law;
  • verify account ownership;
  • verify address ownership;
  • correct a ledger error;
  • resolve a payment dispute;
  • address a security incident;
  • protect the User;
  • protect TRONAgg;
  • protect Providers; or
  • comply with a valid authority request.

A withdrawal will not be delayed longer than reasonably necessary for the relevant purpose, except where a longer restriction is required by law, a court order, sanctions requirements or an ongoing investigation.

TRONAgg may be unable to explain the full reason for a restriction where disclosure is prohibited or would compromise an investigation.

25. Account Closure

You may request closure of your account and withdrawal of your remaining available TRX Balance.

Account closure does not cancel:

  • completed orders;
  • pending orders already in execution;
  • outstanding fees;
  • valid payment obligations;
  • security holds;
  • sanctions restrictions;
  • active investigations;
  • unresolved disputes; or
  • provisions that survive termination.

Subject to valid restrictions, applicable fees and lawful deductions, your remaining available balance will be made available for withdrawal.

TRONAgg may require you to complete the withdrawal before your account is permanently deleted.

TRONAgg may retain records where reasonably required for:

  • accounting;
  • security;
  • fraud prevention;
  • dispute resolution;
  • taxation;
  • legal compliance; or
  • enforcement of these Terms.

26. Balance Holds and Freezes

TRONAgg may temporarily restrict, hold, suspend or freeze access to all or part of a TRX Balance where reasonably necessary because of:

  • an actual or suspected breach of these Terms;
  • unauthorised account access;
  • compromised credentials;
  • fraud or attempted fraud;
  • sanctions exposure;
  • money laundering concerns;
  • unlawful activity;
  • a blockchain security incident;
  • an erroneous credit;
  • a duplicate credit;
  • a chargeback;
  • a payment dispute;
  • manipulation;
  • abuse of the Services;
  • a court order;
  • a government request;
  • a Provider requirement;
  • a security risk;
  • an active investigation; or
  • risk to Users, Providers or TRONAgg.

Where legally and operationally possible, TRONAgg will provide notice of the restriction.

A hold or freeze does not automatically transfer ownership of the balance to TRONAgg.

Upon termination for breach, TRONAgg may deduct valid and lawfully recoverable:

  • unpaid charges;
  • refunds owed;
  • losses caused by the User;
  • network fees;
  • Provider costs;
  • recovery costs; or
  • other amounts due under these Terms.

Any remaining balance will be handled in accordance with applicable law.

27. Failed and Partially Fulfilled Orders

If an order cannot be fully completed, TRONAgg may:

  • continue attempting fulfilment;
  • reroute the order;
  • partially fulfil the order;
  • cancel the undelivered portion;
  • re-credit the relevant amount to the TRX Balance; or
  • issue a refund or withdrawal where appropriate.

An order is not considered failed merely because:

  • the User did not use the delegated resource;
  • the resource expired before use;
  • another transaction consumed the resource;
  • the User supplied an incorrect address;
  • the intended transaction failed;
  • the intended transaction required more Energy than expected;
  • available Energy was insufficient;
  • the wallet burned TRX;
  • the wallet displayed a fee estimate;
  • the User configured an incorrect fee limit; or
  • the User suffered a loss unrelated to actual resource delivery.

For a partially completed order, any refund or re-credit will normally be limited to the undelivered portion.

Unless mandatory law provides otherwise, refunding or re-crediting the amount charged for the undelivered portion is the User’s exclusive contractual remedy for that undelivered portion.

28. Refunds and Re-Credits

Energy or Bandwidth that has been correctly delivered on-chain is normally final and non-reversible.

TRONAgg may provide a refund or re-credit for:

  • an undelivered order;
  • an undelivered portion;
  • a duplicate charge;
  • a cancelled erroneous order;
  • an incorrect internal debit;
  • a technical failure attributable to TRONAgg; or
  • another circumstance required by applicable law.

Network fees, Provider fees and other third-party costs actually and irreversibly incurred may be non-refundable where properly disclosed.

Depending on the circumstances and technical feasibility, TRONAgg may issue a refund through:

  • the original payment method;
  • a TRX Balance re-credit; or
  • a blockchain withdrawal.

Refunds may be subject to reasonable:

  • account-ownership checks;
  • address-ownership checks;
  • fraud checks;
  • sanctions screening;
  • security checks; and
  • processing periods.

29. Prices and Fees

Prices and fees may include:

  • Provider costs;
  • TRONAgg service fees;
  • resource-pool costs;
  • activation fees;
  • subscription fees;
  • renewal fees;
  • per-transfer fees;
  • blockchain fees;
  • withdrawal fees;
  • processing fees;
  • reseller markup;
  • payment-processing costs; and
  • applicable taxes.

The applicable price will be displayed before confirmation or through the relevant official API endpoint.

You are responsible for reviewing the total price before confirming an order or activating a recurring Service.

Prices may change prospectively.

TRONAgg will not retroactively change the price of an order that has already been accepted, except to correct an obvious technical or pricing error.

30. Taxes

You are responsible for determining and meeting tax, reporting and accounting obligations resulting from your use of the Services.

TRONAgg may collect taxes where required.

Where applicable, the interface may indicate whether taxes are:

  • included in the displayed price;
  • added to the displayed price; or
  • the responsibility of the User.

Nothing provided by TRONAgg constitutes tax advice.

31. AutoEnergy

AutoEnergy is an automated managed Energy service for a subscribed TRON address.

By activating AutoEnergy, you authorise TRONAgg to:

  • monitor publicly available blockchain activity associated with the subscribed address;
  • maintain an Energy delegation on the subscribed address;
  • detect supported USDT or TRC-20 transfers;
  • reclaim delegated Energy after usage where technically available;
  • redelegate Energy;
  • renew delegations;
  • debit applicable charges from your TRX Balance;
  • pause the Service; and
  • close the Service in accordance with these Terms.

AutoEnergy does not require access to the subscribed wallet’s private key or seed phrase.

32. AutoEnergy Operation

AutoEnergy may initially delegate the Energy amount displayed in the Workspace or another official interface.

The delegated amount may be configured based on:

  • the expected requirements of supported TRC-20 transactions;
  • the status of the recipient address;
  • network conditions;
  • Provider capacity;
  • product configuration; and
  • operational limits.

A delegation may remain active for the displayed delegation period, which may commonly be approximately 24 hours.

After a supported transfer is detected, TRONAgg may:

  • reclaim the remaining delegation;
  • arrange a new delegation;
  • restore the configured Energy level; or
  • take another technically appropriate action.

If no supported transfer is detected during the relevant cycle, TRONAgg may renew the delegation and apply the applicable cycle or renewal charge.

Specific delegation amounts, cycle periods and replenishment methods may change.

33. AutoEnergy Dynamic Pricing

AutoEnergy pricing is dynamic and may change because of:

  • TRON network conditions;
  • Energy supply;
  • Provider pricing;
  • resource demand;
  • delegation duration;
  • recipient-address status;
  • service capacity;
  • transaction patterns;

AutoEnergy pricing may include:

  • an activation fee;
  • a subscription fee;
  • a cycle fee;
  • a renewal fee;
  • a per-transfer fee;
  • a delegation charge; or
  • another charge displayed through an official TRONAgg interface.

The currently applicable price will be displayed through:

  • the Workspace;
  • the API;
  • the Telegram bot; or
  • another official TRONAgg interface.

Price changes apply prospectively and do not retroactively alter completed charges.

By keeping AutoEnergy active, you authorise TRONAgg to debit the applicable charge disclosed for the relevant:

  • activation;
  • cycle;
  • renewal;
  • delegation;
  • covered transfer; or
  • other billable event.

TRONAgg may introduce:

  • minimum-balance requirements;
  • maximum-spending limits;
  • transaction quotas;
  • cycle limits;
  • address limits;
  • daily limits;
  • automatic pauses; or
  • automatic termination rules.

You are responsible for maintaining a sufficient TRX Balance.

34. AutoEnergy Coverage Limitations

AutoEnergy is designed to reduce the likelihood that TRX will be burned for supported transactions.

AutoEnergy does not guarantee that every transaction will be:

  • detected;
  • covered;
  • replenished;
  • processed before broadcast;
  • processed before execution; or
  • completed without burning TRX.

Coverage may fail or be delayed because of:

  • rapid transactions;
  • simultaneous transactions;
  • transaction bursts;
  • insufficient TRX Balance;
  • incorrect addresses;
  • unsupported tokens;
  • unsupported smart contracts;
  • unusual transaction types;
  • insufficient configured Energy;
  • RPC failure;
  • Provider failure;
  • delayed blockchain data;
  • network congestion;
  • blockchain reorganisation;
  • reclaim delay;
  • redelegation delay;
  • maintenance;
  • security restrictions;
  • software failure;
  • infrastructure failure; or
  • events outside TRONAgg’s reasonable control.

You remain responsible for checking the available Energy before broadcasting a transaction.

Except where liability cannot lawfully be excluded, TRONAgg is not responsible for TRX burned because insufficient Energy was available when a transaction was executed.

35. AutoEnergy Suspension and Closure

AutoEnergy may be paused, suspended, closed or automatically terminated because of:

  • insufficient balance;
  • a User-defined limit;
  • inactivity;
  • cycle expiry;
  • transaction limits;
  • failed charges;
  • unsupported activity;
  • technical maintenance;
  • Provider unavailability;
  • security concerns;
  • a breach of these Terms;
  • sanctions requirements;
  • legal requirements;
  • service discontinuation; or
  • risk to Users, Providers or TRONAgg.

Stopping AutoEnergy prevents future management and future charges.

Stopping AutoEnergy does not reverse:

  • completed charges;
  • completed delegations;
  • completed renewals;
  • blockchain transactions; or
  • Services already supplied.

Closing AutoEnergy may not cause an existing delegation to disappear immediately.

36. Energy-Free Node

The Energy-Free Node is a hosted technical endpoint designed to support eligible signed TRON transactions.

Depending on the applicable configuration, it may:

  • receive a signed transaction;
  • estimate or determine relevant Energy requirements;
  • arrange Energy before broadcast;
  • submit the signed transaction to the TRON network; and
  • return a transaction result or identifier.

You create, review and sign transactions locally.

TRONAgg does not require your private key or seed phrase.

The Energy-Free Node may be used through:

  • compatible wallets;
  • applications;
  • scripts;
  • bots;
  • backend systems; or
  • compatible TRON API clients.

37. Energy-Free Node Limitations

The Energy-Free Node does not guarantee:

  • compatibility with every TRON endpoint;
  • compatibility with every wallet;
  • compatibility with every token;
  • compatibility with every smart contract;
  • exact Energy estimation;
  • that no TRX will be burned;
  • transaction acceptance;
  • transaction confirmation;
  • transaction success;
  • uninterrupted availability;
  • specific savings;
  • specific processing time; or
  • specific latency.

You remain responsible for:

  • constructing transactions;
  • reviewing transactions;
  • signing transactions;
  • setting fee limits;
  • checking recipient addresses;
  • verifying balances;
  • monitoring broadcasts;
  • securing node credentials; and
  • complying with applicable law.

38. Energy-Free Node Credentials

Node URLs, access keys and credentials are confidential.

Activity submitted using a valid credential may be treated as authorised until the credential is revoked or disabled.

TRONAgg may:

  • rate-limit access;
  • rotate credentials;
  • suspend access;
  • revoke credentials;
  • impose usage limits; or
  • restrict supported methods.

These actions may be taken because of:

  • abuse;
  • excessive traffic;
  • security risk;
  • insufficient balance;
  • unpaid charges;
  • sanctions concerns;
  • legal requirements;
  • breach of these Terms;
  • maintenance;
  • Provider capacity; or
  • infrastructure capacity.

39. API Services

TRONAgg may provide access to REST APIs, webhooks and related developer functionality.

API keys are confidential authentication credentials.

You are responsible for:

  • securely storing API keys;
  • preventing client-side exposure;
  • restricting access to authorised persons;
  • protecting your servers;
  • configuring IP restrictions where available;
  • implementing spending limits;
  • validating recipient addresses;
  • using idempotency controls;
  • preventing duplicate requests;
  • implementing appropriate retry logic;
  • monitoring activity;
  • rotating keys; and
  • immediately revoking compromised keys.

40. API Authorisation and Risk

All requests, orders and charges submitted using an active API key may be treated as authorised until the relevant key is disabled.

To the maximum extent permitted by law, TRONAgg is not responsible for losses caused by:

  • exposed API keys;
  • insecure key storage;
  • frontend key exposure;
  • employee misuse;
  • contractor misuse;
  • compromised systems;
  • incorrect integration logic;
  • duplicate requests;
  • missing idempotency controls;
  • incorrect recipient addresses;
  • automated scripts;
  • bots;
  • incorrect retry behaviour; or
  • failure to revoke a compromised key.

This does not exclude liability for a proven security failure directly attributable to TRONAgg where that liability cannot lawfully be excluded.

41. API Limits and Availability

TRONAgg may apply:

  • rate limits;
  • spending limits;
  • quotas;
  • address limits;
  • Provider limits;
  • account limits;
  • temporary suspensions; and
  • permanent suspensions.

TRONAgg may modify, replace or deprecate API endpoints.

Where reasonably practicable, TRONAgg may provide notice of material breaking changes.

Immediate changes may be made without notice where required for:

  • security;
  • legal compliance;
  • fraud prevention;
  • network compatibility;
  • Provider compatibility; or
  • service integrity.

Webhooks, callbacks, estimates and status notifications are provided on a reasonable-efforts basis.

You must independently verify critical order information through:

  • the order endpoint;
  • the Workspace; and
  • the TRON blockchain.

Unless a separate written SLA applies, TRONAgg does not guarantee:

  • API availability;
  • response time;
  • latency;
  • webhook delivery;
  • order-delivery time; or
  • uninterrupted access.

42. Telegram Bots and Third-Party Interfaces

Telegram, Google authentication, wallet providers, WalletConnect, blockchain explorers and other third-party services are independent services.

Your use of them may be governed by separate terms and privacy policies.

TRONAgg is not responsible for:

  • compromised Telegram accounts;
  • compromised email accounts;
  • fake bots;
  • impersonation accounts;
  • unofficial domains;
  • fake support representatives;
  • malicious wallet extensions;
  • third-party outages;
  • third-party interface changes; or
  • unauthorised third-party integrations.

You are responsible for verifying that you are using an official TRONAgg interface.

TRONAgg will never request a seed phrase or private key.

43. Reseller Functionality

TRONAgg may allow approved Users to resell or integrate certain Services.

Unless a separate written reseller agreement applies, a reseller:

  • acts independently;
  • is responsible for its own customers;
  • is responsible for its own pricing;
  • is responsible for its own customer support;
  • is responsible for its own marketing statements;
  • is responsible for applicable taxes;
  • is responsible for consumer-law compliance;
  • is responsible for sanctions and fraud controls applicable to its business; and
  • may not represent that it is TRONAgg.

A reseller may not claim that its services are guaranteed, endorsed or directly operated by TRONAgg unless TRONAgg has provided written permission.

TRONAgg may suspend reseller access for misleading marketing, abuse, fraud, excessive complaints, non-payment or breach of these Terms.

44. Identity Verification

Identity verification is not ordinarily required for standard use of the Services.

However, TRONAgg may request information or restrict activity where reasonably necessary for:

  • fraud prevention;
  • sanctions compliance;
  • security;
  • legal obligations;
  • Provider requirements;
  • dispute investigation;
  • risk management;
  • ownership verification; or
  • protection of the Services.

TRONAgg may request:

  • proof of identity;
  • proof of address;
  • proof of wallet ownership;
  • proof of source of funds;
  • transaction information;
  • business information;
  • beneficial-ownership information;
  • an explanation of account activity; or
  • other reasonably relevant information.

Failure to provide requested information may result in:

  • delayed orders;
  • rejected orders;
  • delayed withdrawals;
  • account restrictions;
  • Service suspension; or
  • account termination.

45. Sanctions and Risk Screening

TRONAgg may use:

  • blockchain analytics;
  • sanctions lists;
  • fraud-detection systems;
  • third-party screening services;
  • Provider risk controls; and
  • internal risk rules.

TRONAgg may refuse, suspend, delay or restrict activity involving:

  • sanctioned persons;
  • sanctioned jurisdictions;
  • sanctioned addresses;
  • stolen assets;
  • hacked assets;
  • ransomware;
  • fraud;
  • scams;
  • darknet markets;
  • money laundering;
  • terrorist financing;
  • unlawful gambling;
  • prohibited businesses; or
  • other unlawful activity.

TRONAgg is not required to complete an order or withdrawal where doing so would create legal, sanctions, fraud, security, Provider or operational risk.

TRONAgg may comply with:

  • valid court orders;
  • government requests;
  • law-enforcement requests;
  • sanctions obligations; and
  • other applicable legal obligations.

TRONAgg may be legally prohibited from informing the User of certain actions or investigations.

46. Prohibited Use

You must not use the Services:

  • for fraud or theft;
  • for money laundering;
  • for terrorist financing;
  • for sanctions evasion;
  • for ransomware;
  • for phishing;
  • for malware;
  • for unauthorised access;
  • to conceal criminal proceeds;
  • to facilitate unlawful gambling;
  • to operate scams;
  • to manipulate Provider prices;
  • to manipulate reviews or TrustScores;
  • to interfere with the Services;
  • to overload infrastructure;
  • to bypass rate limits;
  • to evade security controls;
  • to scrape beyond authorised limits;
  • to reverse engineer the Services except where legally permitted;
  • to impersonate TRONAgg;
  • to infringe third-party rights;
  • to mislead users about a partnership with TRONAgg; or
  • in any manner that violates applicable law.

You may not represent that your product or business is operated, guaranteed, authorised or endorsed by TRONAgg without prior written permission.

47. Service Availability

TRONAgg does not guarantee that the Services will always be:

  • available;
  • uninterrupted;
  • error-free;
  • secure;
  • compatible with every device;
  • compatible with every wallet;
  • compatible with every Provider; or
  • available in every jurisdiction.

TRONAgg may perform scheduled or emergency maintenance.

TRONAgg may change, restrict, suspend or discontinue any Service.

Where reasonably practicable, advance notice may be provided for material changes to ongoing paid Services.

Advance notice may not be provided where an immediate change is required for:

  • security;
  • sanctions;
  • legal compliance;
  • network compatibility;
  • Provider compatibility;
  • fraud prevention; or
  • service integrity.

48. Suspension and Termination

TRONAgg may suspend or terminate access because of:

  • breach of these Terms;
  • suspected fraud;
  • unlawful activity;
  • sanctions risk;
  • compromised credentials;
  • payment disputes;
  • abusive API activity;
  • excessive infrastructure usage;
  • security threats;
  • false information;
  • non-payment;
  • Provider requirements;
  • legal requirements; or
  • risk to TRONAgg or other Users.

Where circumstances reasonably permit, TRONAgg may provide notice and an opportunity to correct the issue.

Immediate suspension may occur where delay could create financial, security, legal or operational harm.

You may stop using the Services at any time.

Termination does not affect:

  • completed transactions;
  • accrued fees;
  • valid claims;
  • payment obligations;
  • record-retention requirements; or
  • provisions intended to survive termination.

49. Immediate Performance and Consumer Withdrawal Rights

Many TRONAgg Services are performed immediately or shortly after an order is confirmed.

By confirming an order for a Service that is performed immediately, you expressly request that TRONAgg begin performance immediately.

Where applicable consumer law provides a statutory withdrawal right, you acknowledge that the right may be lost once the Service has been fully performed, to the extent permitted by applicable law.

Where a Service has begun but has not been fully performed, your rights and any amount payable will be determined under applicable mandatory law.

Nothing in this section removes statutory rights relating to an undelivered, defective or non-conforming Service.

50. No Financial, Investment or Legal Advice

The Services relate to TRON blockchain resources and technical infrastructure.

Nothing provided through TRONAgg constitutes:

  • investment advice;
  • financial advice;
  • legal advice;
  • tax advice;
  • accounting advice;
  • a recommendation to buy or sell crypto-assets;
  • portfolio management;
  • a promise of profit;
  • a promise of savings; or
  • a fiduciary relationship.

You are responsible for obtaining independent professional advice where appropriate.

51. No Affiliation

Unless expressly stated, TRONAgg is not affiliated with, sponsored by or endorsed by:

  • TRON DAO;
  • Tether;
  • TronLink;
  • WalletConnect;
  • Telegram;
  • Google;
  • any wallet provider;
  • any blockchain explorer;
  • any token issuer; or
  • any third-party Provider.

References to third-party names, products and trademarks are for identification or compatibility purposes.

52. Blockchain and Technology Risks

You acknowledge that blockchain-related services involve risks, including:

  • transaction irreversibility;
  • protocol changes;
  • forks;
  • chain reorganisations;
  • block-production failures;
  • network congestion;
  • changing resource requirements;
  • fee changes;
  • smart-contract bugs;
  • token-contract changes;
  • RPC failures;
  • Provider outages;
  • cloud-infrastructure failures;
  • inaccurate blockchain data;
  • cybersecurity incidents;
  • credential compromise;
  • malware;
  • regulatory changes; and
  • changes to TRON resource mechanics.

TRONAgg does not control:

  • the TRON protocol;
  • block producers;
  • third-party wallets;
  • token contracts;
  • stablecoin issuers;
  • blockchain explorers;
  • telecommunications networks;
  • cloud providers; or
  • independent Energy Providers.

53. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an “as available” and reasonable-efforts basis.

TRONAgg does not warrant that:

  • every order will be completed;
  • every order will be completed within an estimated time;
  • every Provider will perform;
  • every quote will remain available;
  • every AutoEnergy transaction will be covered;
  • using the Services will eliminate TRX burn;
  • every Energy estimate will be correct;
  • TrustScores will predict future performance;
  • third-party data will be complete;
  • the Services will be uninterrupted;
  • the Services will be error-free;
  • the Services will be compatible with every wallet or contract; or
  • the Services will meet every User’s individual requirements.

Nothing in this section excludes warranties, remedies or rights that cannot legally be excluded.

54. Excluded Losses

To the maximum extent permitted by applicable law, TRONAgg is not responsible for losses caused by:

  • an incorrect recipient address;
  • an incorrect withdrawal address;
  • an external wallet;
  • a compromised device;
  • compromised credentials;
  • an exposed API key;
  • a compromised node credential;
  • an authorised transaction;
  • unsupported assets;
  • unsupported networks;
  • unsupported smart contracts;
  • insufficient TRX Balance;
  • failure to check available Energy;
  • failure to use delegated Energy;
  • expiry of delegated resources;
  • market-price movements;
  • Provider failure outside TRONAgg’s reasonable control;
  • blockchain failure outside TRONAgg’s reasonable control;
  • wallet-provider failure;
  • third-party interface failure;
  • unlawful use of the Services; or
  • failure to comply with these Terms.

These exclusions apply only to the extent permitted by applicable law.

55. Limitation of Liability for Business Users

This section applies to Business Users.

To the maximum extent permitted by applicable law, TRONAgg will not be liable to a Business User for:

  • indirect loss;
  • consequential loss;
  • incidental loss;
  • special damages;
  • punitive damages;
  • loss of profit;
  • loss of revenue;
  • loss of anticipated savings;
  • loss of business;
  • loss of opportunity;
  • loss of goodwill;
  • trading loss;
  • liquidation;
  • loss of data;
  • business interruption;
  • third-party penalties; or
  • losses resulting from blockchain or Provider failure.

TRONAgg’s total aggregate liability arising from an event or related series of events will not exceed the TRONAgg service fees actually paid by the Business User during the three months immediately preceding the event giving rise to the claim.

For this limitation, TRONAgg service fees exclude:

  • Provider costs;
  • blockchain fees;
  • withdrawal fees;
  • taxes;
  • payment-processing costs;
  • third-party costs; and
  • reseller markup.

Where no separate TRONAgg service fee can reasonably be identified, TRONAgg’s aggregate liability will not exceed the amount paid for the specific affected Service.

56. Liability Toward Consumers

Where you are a Consumer, TRONAgg’s liability is limited only to the maximum extent permitted by applicable law.

Nothing in these Terms excludes or limits:

  • mandatory consumer rights;
  • liability for fraud;
  • liability for wilful misconduct;
  • liability for death or personal injury where it cannot lawfully be excluded;
  • liability that cannot lawfully be limited; or
  • statutory remedies for Services that were not supplied or were not supplied in conformity with applicable law.

Any limitation that is unenforceable against a Consumer will not apply to that Consumer, but the remaining Terms will continue to apply.

57. Business User Indemnification

A Business User agrees to indemnify and hold harmless TRONAgg and persons involved in operating the Services against third-party claims, regulatory costs, liabilities and reasonable losses arising from:

  • the Business User’s unlawful use of the Services;
  • breach of these Terms;
  • misuse of API keys;
  • misuse of node credentials;
  • transactions submitted through the Business User’s systems;
  • the Business User’s customers;
  • reseller activity;
  • misleading marketing;
  • sanctions violations;
  • fraud;
  • privacy-law violations;
  • consumer-law violations;
  • infringement of third-party rights; or
  • false claims about TRONAgg.

This indemnity does not apply to the extent the relevant loss was directly caused by TRONAgg’s fraud, wilful misconduct or liability that cannot legally be excluded.

This section does not apply to Consumers acting outside their trade or profession.

58. Force Majeure

TRONAgg is not responsible for delay or failure caused by events outside its reasonable control, including:

  • blockchain outages;
  • protocol changes;
  • chain reorganisations;
  • Provider insolvency;
  • Provider outages;
  • internet failures;
  • cloud-provider incidents;
  • telecommunications failures;
  • cyberattacks;
  • widespread malware;
  • governmental action;
  • sanctions changes;
  • legal restrictions;
  • natural disasters;
  • war;
  • civil unrest;
  • labour disruption;
  • power outages; or
  • infrastructure failures.

This section does not affect rights that cannot lawfully be excluded.

59. Intellectual Property

The Services, including their:

  • software;
  • interfaces;
  • design;
  • branding;
  • databases;
  • Provider rankings;
  • TrustScore methodology;
  • routing logic;
  • documentation;
  • text;
  • graphics;
  • trademarks; and
  • related content are owned by or licensed to the operator of TRONAgg.

Subject to these Terms, TRONAgg grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose.

You may not:

  • copy the Services;
  • commercially reproduce the Services;
  • modify the Services;
  • distribute the Services;
  • create unauthorised derivative products;
  • extract substantial portions of databases;
  • remove proprietary notices;
  • use TRONAgg trademarks without permission; or
  • commercially exploit the Services outside an authorised API, reseller or Provider relationship.

60. Reviews, Feedback and User Content

If you submit reviews, feedback, Provider information or other content, you grant TRONAgg a worldwide, non-exclusive, royalty-free licence to:

  • host;
  • reproduce;
  • display;
  • translate;
  • moderate;
  • analyse;
  • distribute; and
  • use that content for operating, promoting and improving the Services.

You represent that your content:

  • is accurate to the best of your knowledge;
  • is lawful;
  • does not infringe third-party rights;
  • is not misleading;
  • is not fraudulent; and
  • is not submitted in exchange for an undisclosed incentive.

TRONAgg may remove or restrict content that is:

  • unlawful;
  • misleading;
  • manipulated;
  • fraudulent;
  • abusive;
  • defamatory;
  • irrelevant;
  • spam; or
  • inconsistent with these Terms.

61. Privacy and Blockchain Data

TRONAgg’s processing of personal data is described in its Privacy Policy.

Blockchain records are public and may remain permanently accessible.

TRONAgg cannot delete, modify or reverse data recorded on a public blockchain.

You must not submit personal data relating to another person unless you have a lawful basis and authority to do so.

62. Changes to the Services

TRONAgg may change:

  • Providers;
  • routing logic;
  • prices;
  • fee structures;
  • ranking methodologies;
  • TrustScore methodology;
  • supported assets;
  • supported networks;
  • supported durations;
  • API endpoints;
  • AutoEnergy configuration;
  • resource amounts;
  • node functionality;
  • account limits;
  • deposit methods;
  • withdrawal methods; and
  • other product functionality.

Changes will apply prospectively unless they correct an error or are required for security, legal compliance or service integrity.

63. Changes to These Terms

TRONAgg may update these Terms to reflect changes to:

  • the Services;
  • business operations;
  • legal requirements;
  • security requirements;
  • Provider relationships;
  • product functionality; or
  • risk controls.

Material changes will apply prospectively.

Where reasonably practicable, material changes may be communicated through:

  • the Website;
  • the Workspace;
  • email;
  • Telegram; or
  • another appropriate channel.

Continued use after the effective date of updated Terms constitutes acceptance where legally permitted.

Where renewed express consent is required by law, TRONAgg may request it before further use.

Updated Terms will not retroactively remove rights or remedies that have already accrued.

64. Transfer to a Future Legal Entity

The operator of TRONAgg may incorporate, appoint or transfer the TRONAgg business to a legal entity.

You agree that the following may be transferred to a legal entity established or appointed to own, operate or continue the TRONAgg business:

  • these Terms;
  • User accounts;
  • TRX Balance records;
  • subscriptions;
  • contracts;
  • Provider relationships;
  • reseller relationships;
  • intellectual-property rights;
  • claims;
  • rights;
  • liabilities; and
  • obligations.

Where reasonably practicable, TRONAgg will notify Users through:

  • the Website;
  • the Workspace;
  • email; or
  • another suitable communication channel.

A transfer under this section will not reduce rights that cannot lawfully be excluded or limited.

After the transfer, references to “TRONAgg,” “we,” “us” and “our” will refer to the successor entity identified in the updated Terms.

65. Applicable Law and Disputes

These Terms and disputes relating to the Services will be governed by the law applicable under mandatory conflict-of-law rules.

Nothing in these Terms deprives a Consumer of protections that cannot lawfully be waived under the laws applicable to that Consumer.

Before initiating formal proceedings, you should contact:

  • the account identifier;
  • wallet address;
  • order ID;
  • transaction identifier;
  • amount;
  • date;
  • description of the issue; and
  • requested resolution.

Business Users agree to attempt in good faith to resolve disputes through direct negotiations before commencing formal proceedings.

TRONAgg does not submit to the jurisdiction of a particular court merely because the Services can be accessed from that jurisdiction.

Nothing in this section excludes the jurisdiction of a court or authority where that jurisdiction cannot lawfully be excluded.

66. Notices

TRONAgg may provide notices through:

  • the Website;
  • the Workspace;
  • email;
  • Telegram;
  • API notices;
  • documentation; or
  • another reasonable electronic method.

You are responsible for maintaining accurate contact information and reviewing account notices.

A notice is treated as received when it is made available through the relevant interface or sent to the contact information associated with the account, subject to applicable law.

67. Assignment by Users

You may not transfer or assign your rights or obligations under these Terms without prior written consent from TRONAgg.

Any attempted assignment made in breach of this section may be treated as invalid.

This restriction does not prevent rights that must legally be transferable.

68. No Partnership or Agency

These Terms do not create:

  • a partnership;
  • joint venture;
  • employment relationship;
  • fiduciary relationship;
  • agency relationship; or
  • franchise relationship between a User and TRONAgg.

No User has authority to bind TRONAgg unless expressly authorised in writing.

69. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be limited or removed only to the minimum extent necessary.

The remaining provisions will continue in effect.

Where possible, an invalid provision will be interpreted in a way that most closely reflects its lawful commercial purpose.

70. No Waiver

Failure or delay by TRONAgg in enforcing a provision does not waive the right to enforce that provision later.

A waiver is effective only where expressly confirmed in writing.

71. Entire Agreement

These Terms, together with any applicable:

  • Privacy Policy;
  • Refund Policy;
  • product-specific terms;
  • pricing displayed before confirmation;
  • API agreement;
  • reseller agreement;
  • Provider agreement; or
  • separate written SLA constitute the agreement governing your use of the relevant Services.

In the event of a conflict, a separately signed written agreement will prevail for the subject matter it specifically covers.

72. Survival

Provisions concerning the following survive account closure or termination where necessary to give them effect:

  • completed transactions;
  • outstanding payments;
  • intellectual property;
  • liability limitations;
  • indemnification;
  • dispute resolution;
  • record retention;
  • governing law;
  • accrued rights; and
  • obligations intended by their nature to survive.

73. Language

These Terms may be translated into other languages.

Unless mandatory law requires otherwise, the English version controls in the event of a material inconsistency between translations.

Section titles and headings are provided for convenience only and do not limit or alter the meaning of the relevant provisions.
